JOINT STOCK COMPANY REGISTRATION IN LATVIA
Public limited company (Latvian “AS”) is a public company and allows its shares to be publicly-traded. Share capital of a public limited company minimum is EUR 35,000.
If the share capital is set above EUR 35,000, then by applying for registration the entire share capital has to be signed, but the paid-up share capital has to be not less than the statutory minimum share capital (EUR 35,000) and not less than 25 % of the signed share capital (the rest is paid up no later than in one year’s time from the date of signing the Founding Agreement). Depending on the type of their activity, public limited companies have different minimum amounts of share capital (such as the financial sector (banking, insurance, non-bank lending, leasing).
Particular categories of public limited companies such as in financial or insurance sector also require a licence issued by regulatory bodies in Republic of Latvia.
A joint stock company in Latvia can be established in less than a week in case all necessary documents are submitted for registration.
For foreigners the following documentation will be required:
- notarized and apostilled passport copy;
- notarized and apostilled company registration documents (prepared by our lawyers);
- utillity bill not older than 3 months.
Before registering company you will need to send us a scanned passport copy of the shareholders and board members of the company as well as company name that you have chosen to check for availability.
Great feature of Latvian company establishment is that you can have your company name in English language, there are no requirements for Latvian language in the company's name.
