INCREASE/DECREASE SHARECAPITAL OF LATVIAN COMPANY
The decision to increase or decrease sharecapital of Latvian company will have to be registered with the Latvian Enterprise Registry and relevant documentation filed in order to sucessfully carry out the decrease or increase of the sharecapital.
Under Latvian law the sharecapital of company can be decreased in two ways:
1) by reducing the amount of shares issued;
2) by reducing the nominal value of a share.
Latvian company's sharecapital can be increased by:
1) by deposit of current shareholders to increase the amount of shares;
2) by deposit of non-shareholders, who wish to become shareholders of the company;
3) after the approval of annual report by using the company's reserve to increase the sharecapital;
4) by investment of assets (movable or immovable property, or any other assets used by company) to increase the sharecapital if allowed under the capital increase rules issued by the company.
