How to Register a Joint Stock Company in Latvia
A joint stock company or so called public company is a type of limited liability company which can issue stocks for public trading.
In Republic of Latvia a joint stock company is not obliged to issue stocks for public trading - the joint stock company in Latvia can keep the stock private (between the founders of the company).
The requirements to establish a joint stock company in Latvia are the following:
- minimum sharecapital is EUR 35 000 (it is alllowed to pay minimum of 25% of the sharecapital at first, and rest must be paid in not later than within one year);
- 1 board member will need to be appointed (if joint stock company trades stocks in public, 3 board members will need to be appointed);
- at least 3 council members, or 5 if stocks are traded publicly.
The board members and council members must be different person's, as the functions of board are to manage the company. The council, on the other hand, oversees the functions of the management board.
